Client responsibilities

Payment

Payment terms — including deposits, milestones, and due dates — are set out in the project contract. Late payments may pause work or incur additional charges as specified in that contract.

Intellectual property

Unless otherwise agreed in writing, ownership of custom code and deliverables created specifically for a client transfers to that client upon full payment. We retain the right to reuse general-purpose tools, libraries, and know-how developed during a project, and this site's own content (text, design, and branding) remains our property.

Confidentiality

We treat client business information, credentials, and project details as confidential, and expect the same regarding any confidential information we share with you. Confidentiality obligations are typically formalized in a mutual NDA or the project contract.

Warranties & limitation of liability

We aim to deliver reliable, well-tested software, but we make no warranty that any service or deliverable will be completely error-free or uninterrupted. To the maximum extent permitted by law, our liability for any claim arising from our services is limited to the amount paid for the specific work giving rise to the claim, and we are not liable for indirect, incidental, or consequential damages.

Termination

Either party may terminate an active engagement as described in the relevant contract, typically with written notice. Fees for work completed up to the termination date remain payable.

Governing law

These terms are governed by the laws of the jurisdiction specified in your project contract, without regard to conflict-of-law principles, unless otherwise agreed in writing.

Changes to these terms

We may update these terms from time to time. If we make material changes, we'll update the "last updated" date above. Continued use of this site after changes means you accept the updated terms.
